The Vora Athlete Giveaway (the “Giveaway”) is a promotional sweepstakes open to members of the Vora Athlete Program. By participating, you agree to be bound by these Official Rules and by the decisions of the Sponsor, which are final and binding in all matters relating to the Giveaway.
The Giveaway is sponsored by Vora AI Inc. (“Vora” or the “Sponsor”). You can contact the Sponsor about the Giveaway at legal@askvora.com. The Giveaway is in no way sponsored, endorsed, administered by, or associated with Instagram, TikTok, YouTube, X, Meta, or any other social media platform (each a “Platform”).
The Giveaway is open only to natural persons who, at the time of entry, satisfy all of the following: (a) are legal residents of the fifty (50) United States or the District of Columbia; (b) are at least eighteen (18) years old, or the age of majority in their state of residence, whichever is older; and (c) have been accepted into and remain in good standing in the Vora Athlete Program.
Employees, officers, directors, contractors, and agents of the Sponsor and its affiliates, and the immediate family members (spouse, parent, child, or sibling) and household members of each, are not eligible. The Giveaway is void in any jurisdiction where it is prohibited or restricted by law, and is subject to all applicable federal, state, and local laws and regulations.
The Giveaway begins on the date these Official Rules are first posted and continues on an ongoing basis until the Sponsor ends it (the “Giveaway Period”). The Sponsor’s systems are the official timekeeping devices for the Giveaway. The Sponsor may add prizes, hold drawings, modify these Rules, or end the Giveaway at any time as described below.
Entries are earned through ordinary participation in the Vora Athlete Program at no cost. There is no entry fee and no purchase of any kind is required. For each eligible week, an athlete earns credit toward an entry by doing both of the following: (a) publishing a public social media post about Vora that tags @askvora and clearly discloses the partnership, for example with #VoraPartner or #ad; and (b) submitting a valid weekly check-in in the athlete portal that includes a working link to the post and/or a screenshot of it, together with the date posted.
Each six (6) valid weekly check-ins, as confirmed by the Sponsor, earns the athlete one (1) entry into the Giveaway. Weeks accumulate over time. A missed week does not forfeit any entry already earned; it only delays the next entry. There is no limit on the number of entries an eligible athlete may accumulate over the life of the Giveaway, and each additional entry increases that athlete’s chances of being selected in a drawing.
Posting is a voluntary activity of the Athlete Program. It is not a fee, payment, or purchase, and entrants pay nothing to participate. The Sponsor determines, in its sole discretion, whether a check-in is valid. This includes whether the post is genuine, public, properly tagged, properly disclosed, and published within the relevant week. Incomplete, fraudulent, automated, duplicated, or non-compliant check-ins do not count.
Earning an entry does not win a prize and does not trigger a drawing. Completing six weeks places you into the pool. It does not award a prize by itself and does not mean a prize will be given out at that time. Prizes are awarded only through random drawings held by the Sponsor.
From time to time, and in its sole discretion, the Sponsor will make a prize available and conduct a random drawing for that prize. Each drawing is conducted from among all eligible entries accrued by all eligible athletes as of the date of that drawing. Entries carry forward and remain eligible for each subsequent drawing during the Giveaway Period. An entry is not used up unless these Rules state otherwise for a specific prize. The odds of winning any given drawing depend on the total number of eligible entries in the pool at the time of that drawing.
Unless otherwise stated for a specific prize, an athlete may win more than one prize over the life of the Giveaway. The Sponsor conducts each drawing using a random method, such as a random-number selection, from the pool of eligible entries. All drawing results and eligibility determinations by the Sponsor are final and binding.
The Sponsor will describe each prize, including its approximate retail value, at or before the time of the applicable drawing. Prizes may include fitness wearables, such as a Fitbit Air, and other merchandise. The total number and value of prizes depends on how many prizes the Sponsor chooses to offer during the Giveaway Period. No cash or other substitution will be made except by the Sponsor, which reserves the right to substitute a prize of equal or greater value. Each prize is awarded as is, with no warranty of any kind other than any applicable manufacturer’s warranty. A prize is non-transferable and may not be assigned before it is awarded.
Potential winners will be notified using the email or account contact information on file. A potential winner must respond and claim the prize within seven (7) days of notification and may be required to confirm eligibility and provide a valid shipping address. If a potential winner cannot be reached, fails to respond within the claim period, is found ineligible, or declines the prize, the prize may be forfeited and an alternate winner may be selected at random from the remaining eligible entries.
All federal, state, and local taxes on any prize are the sole responsibility of the winner. Where required by law, the Sponsor may request a completed IRS Form W-9, or its equivalent, before awarding a prize, and may issue an IRS Form 1099 for the value of any prize where required. If a winner does not provide required tax or eligibility information within a reasonable time, the prize may be forfeited.
Except where prohibited by law, acceptance of a prize constitutes the winner’s consent to the Sponsor’s use of the winner’s name, social media handle, likeness, image, voice, and statements for promotional and advertising purposes, in any media, worldwide, without further compensation, notice, or approval.
When you post as part of the Athlete Program, you represent and warrant that the content is your own original content, that you have all rights necessary to post it, that it does not infringe the rights of any third party, that it complies with the terms of the applicable Platform, and that you clearly disclose the Vora partnership as required by applicable law and the U.S. Federal Trade Commission. You are solely responsible for your posts, and the Sponsor may decline to count, or may require the removal of, any post that does not meet these requirements.
By participating, you release and hold harmless the Sponsor, its affiliates, and each of their officers, directors, employees, contractors, and agents from any and all liability, loss, injury, claim, or damage of any kind arising from or in connection with the Giveaway, participation in the Athlete Program, the creation or posting of content, or the acceptance, possession, use, or misuse of any prize. The Sponsor is not responsible for any late, lost, incomplete, misdirected, or technically failed entries, check-ins, or notifications, or for any error, omission, or technical malfunction of any kind.
The Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Giveaway or the Athlete Program, acting in violation of these Rules, or acting in a disruptive or unsporting manner. The Sponsor reserves the right, in its sole discretion, to modify, suspend, or terminate the Giveaway, or any individual drawing, if fraud, technical failure, or any other factor beyond its reasonable control impairs the integrity or proper functioning of the Giveaway. Any attempt to deliberately undermine the legitimate operation of the Giveaway may be a violation of criminal and civil law.
The Giveaway is not sponsored, endorsed, administered by, or associated with any Platform. By participating, you understand that you are providing your information to the Sponsor and not to any Platform, and you release each Platform from any and all liability in connection with the Giveaway.
Information collected from entrants is used in accordance with the Sponsor’s Privacy Policy, available at askvora.com/privacy.
These Official Rules and the Giveaway are governed by the applicable laws of the United States and of the state in which the Sponsor is organized, without regard to conflict-of-laws principles, consistent with the Vora Terms of Service at askvora.com/terms. Except where prohibited, all disputes arising out of or relating to the Giveaway shall be resolved individually, without resort to any form of class action.
If any provision of these Rules is held to be invalid or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
